Terms and Conditions: Commercial Linen Rental Agreement

 

1. Introduction
These terms and conditions govern the rental of linen, towels, and associated items (“Products”) by Agile Maintenance Pty Ltd – ABN 63 624 279 652 trading as Fresh Linen Hire (“The Company”) to property management companies, motels, hotels, hosts, and other customers (“Customer”). By entering into this agreement, the Customer agrees to comply with these terms and conditions.

 

2. Rental Period
The rental period begins when the Products are delivered to the Customer or picked up from The Company’s depot and ends when they are returned or collected by The Company or dropped off at the depot. The standard rental period is 14 (fourteen days), unless otherwise agreed upon.

If the Products are not returned or made available for collection by the end of the standard rental period, an automatic further rental fee will be charged. This fee will continue to be charged on each subsequent rental rotation until the Products are returned to The Company or collected.

 

3. Delivery, Collection, and Depot Pick-Up/Drop-Off

  • Delivery: The Company will deliver the Products to the Customer’s designated premises at the agreed time. A delivery fee will apply, based on location and the size of the order. The delivery fee will be specified on your invoice. This fee may be adjusted from time to time at the discretion of the company.
  • Collection: The Company will arrange collection of the Products at the end of the rental period or as otherwise agreed. A collection fee will apply if The Company arranges for pick-up. The Customer is responsible for ensuring that the Products are available for collection at the agreed time and location. Delays may incur additional charges. The collection fee and or delay fee will be specified on your invoice. This fee may be adjusted from time to time at the discretion of the company.
  • Depot Pick-Up: The Customer may choose to pick up the Products directly from one of The Company’s depot or hubs. Pick-up must occur during standard operating hours for each depot or hub. The location of Fresh Lien depot and hubs and opening times are outlined on the Fresh Linen Hire Website - www.freshlinenhire.com.au. The Customer must notify The Company at least 2 hours in advance to arrange for pick-up. No additional fee is charged for depot or hub pick-up.
  • Depot Drop-Off: The Customer may return the Products to The Company’s depot or Hubs. The return must occur during standard operating hours and within the agreed rental period. The location of Fresh Linen Hire depot and hubs and opening times are outlined on the Fresh Linen Hire Website - www.freshlinenhire.com.au. Failure to return within this timeframe may incur late return charges. No additional fee is charged for depot drop-off.
  • Late Return: Any delay in the return or collection of the Products will incur additional fees.
 

4. Usage and Care of Products

  • The Customer agrees to use the Products only for their intended purpose.
  • The Customer must ensure that the Products are handled with care and maintained in good condition. Products should be kept clean and free from any permanent stains or damage.
  • The Customer must not modify, alter, or repair the Products without The Company’s prior written consent.
 

5. Damaged or Lost Items

  • The Customer is responsible for any loss, theft, or damage to the Products while they are in their possession.
  • In the event that any Products are lost, stolen, or damaged beyond normal wear and tear, The Company reserves the right to charge the Customer the full replacement cost of the affected items.
  • Normal wear and tear is expected with linen usage. However, irreparable stains, burns, tears, or any other significant damage will be deemed outside normal wear and tear.
 

6. Pricing and Payment

  • Rental Fees: The Customer agrees to pay the rental fees as set out in the rental agreement or as otherwise agreed in writing. This fee may be adjusted from time to time at the discretion of the company.
  • Delivery and Collection Fees: If the Customer chooses delivery or requires The Company to arrange collection of the Products, an additional fee will be charged. This fee will be based on the Customer’s location, road tolls, the size of the order, and logistical requirements, and any other factors deemed by the company. The collection fee and or delay fee will be specified on your invoice
  • Additional Charges: The Customer may be subject to additional charges for damaged, lost, or unreturned Products, late returns, or any other breaches of this agreement.
  • Invoicing and Payment: Invoices will be issued by The Company on an order-by-order basis and are payable at the time of pick up or delivery of the linen or as otherwise agreed in writing with the company. Late payments may incur interest at a rate of 15% per annum.
  • All prices quoted across all of our platforms, invoicing and statements are exclusive of GST.
 

7. Cancellation

  • The Customer may cancel an order up to 24 hours before the scheduled delivery or pick-up time without charge. Cancellations made within 24 hours of the scheduled time will be subject to a cancellation fee of 30% of the order amount.
  • The Company reserves the right to cancel the agreement if the Customer fails to comply with these terms and conditions or if unforeseen circumstances prevent The Company from fulfilling the order.
 

8. Liability

  • The Company is not liable for any damages, losses, or expenses incurred by the Customer arising from delays in delivery, non-performance of obligations, or any other circumstances beyond The Company’s control.
  • The Customer acknowledges that The Company does not provide any warranties or guarantees regarding the Products' fitness for a particular purpose, other than as required by law.
 

9. Insurance

  • The Customer is responsible for ensuring that adequate insurance coverage is in place to protect against loss, damage, or theft of the Products during the rental period.
  • The Company shall not be liable for any claims arising from accidents, injuries, or damage caused by the use of the Products while in the Customer’s possession.
 

10. Termination

  • Either party may terminate this agreement by giving 7 days’ written notice.
  • Upon termination, the Customer must promptly return all rented Products to The Company or arrange for their collection by The Company. The Customer remains liable for all fees and charges up to and including the termination date.
 

11. Indemnification
The Customer agrees to indemnify and hold The Company harmless from any claims, damages, losses, or expenses, including legal fees, arising out of or in connection with the Customer’s use or misuse of the Products or breach of these terms.

 

12. Confidentiality
The Customer agrees to keep confidential any and all pricing, terms, and other business information shared by The Company as part of this agreement and not disclose this information to third parties without written consent.

 

13. Governing Law
This agreement is governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from this agreement shall be resolved in the courts of New South Wales, Australia.

 

14. Amendments
The Company reserves the right to amend these terms and conditions from time to time. Any amendments will be communicated to the Customer via the Fresh Linen Hire website -www.freshlinenhire.com.au, and continued use of the Products will constitute acceptance of the revised terms.

 

15. Entire Agreement
This agreement constitutes the entire understanding between The Company and the Customer with respect to the rental of Products. No amendments or modifications shall be valid unless made in writing and signed by both parties.
